Welcome to Los Angeles Patch Co.. By accessing our website, placing an order, or utilizing our custom manufacturing services, you agree to comply with and be bound by the following terms and conditions. If you do not agree with any part of these terms, please do not use our website or services.

1. General Agreement

By placing an order with Los Angeles Patch Co., you acknowledge that you are entering into a binding legal contract. We reserve the right to refuse service or cancel orders at our sole discretion, including but not limited to orders containing offensive material or unauthorized use of protected intellectual property.

2. Artwork Ownership and Intellectual Property (CRITICAL)

As a custom manufacturing company, we rely on the artwork provided by our customers.

  • Customer Warranty: You (the Customer) warrant and represent that you are the sole owner of, or have the express legal right and license to use, any and all logos, trademarks, designs, and artwork submitted to Los Angeles Patch Co. for manufacturing.
  • Non-Liability for Copyright Infringement: Los Angeles Patch Co. acts solely as a manufacturer and assumes no responsibility for researching or verifying the trademark or copyright status of customer-submitted designs. We are not liable for any copyright or trademark infringement arising from the production of goods based on your designs.
  • Indemnification: You agree to indemnify, defend, and hold harmless Los Angeles Patch Co. (including its owners, employees, and affiliates) from and against any and all claims, suits, damages, costs, and expenses (including attorney fees) arising from any claim that the artwork submitted by you infringes upon the intellectual property rights of a third party.
  • Production License: By submitting artwork, you grant Los Angeles Patch Co. a non-exclusive, royalty-free license to use, digitize, and reproduce the design for the sole purpose of fulfilling your order.

3. Usage of Samples for Promotion

Unless specifically requested otherwise in writing at the time of the order, Los Angeles Patch Co. reserves the right to use photos of your finished patches in our marketing materials, social media, and website galleries to demonstrate our manufacturing capabilities. We will never sell your custom design to another customer.

4. Order Process and Proofing

  • Digital Proofs: We provide a digital mockup for every order. It is your responsibility to review all details, including spelling, colors, backing type, and dimensions.
  • Approval: Your approval of a digital proof constitutes your final agreement to the design. Once production begins, changes cannot be made without additional costs.

5. Manufacturing Variances

  • Textile Limits: Because patches are made from thread, PVC, or leather, there may be slight variations in color or detail compared to a digital screen. Small text (under 4mm) may lose clarity.
  • Color Matching: While we use Pantone matching, slight shade variations are inherent to the dyeing and molding process and are not considered defects.

6. Payment and Pricing

  • Payment Terms: Payment is required in full before production begins unless otherwise agreed upon in a written contract.
  • Pricing: We reserve the right to adjust pricing based on design complexity or changes in material costs. Any price changes will be communicated before billing.

7. Limitation of Liability

To the maximum extent permitted by law, Los Angeles Patch Co. shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our products or the inability to use our website. Our total liability for any claim shall not exceed the amount paid by you for the specific order in question.

8. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California. Any legal action or proceeding related to your use of this site or our services shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Los Angeles, California.

9. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated “Effective Date.”
